1. Definitions

“Company,” “we,” “our,” or “us” refers to Webtricker, the web design and development agency.
“Client,” “you,” or “your” refers to any individual, business, or organization engaging our services.
“Services” means any web design, development, SEO, digital marketing, consultation, or related IT services provided by Webtricker.
“Deliverables” refers to the final work, designs, websites, or code developed and delivered by us.

2. Scope of Services

Webtricker provides professional IT services including but not limited to:
- Website design & development
- Web application development
- E-commerce solutions
- UI/UX design
- SEO and digital marketing
- Website maintenance and support
A detailed scope will be outlined in the proposal, quotation, or project agreement shared with the Client before work begins.

3. Project Process & Client Responsibilities

Projects will be initiated only after receiving a signed agreement or confirmation via email along with the required initial payment (if applicable).
Clients must provide all necessary content, images, brand materials, and feedback in a timely manner. Any delay in providing required materials may affect project timelines. Revisions are limited to the scope agreed upon in the proposal; additional revisions or changes will be billed separately.

4. Payment Terms

All invoices must be paid within the agreed timeframe stated in the proposal or contract. Unless otherwise specified:
- 50% upfront payment is required before work commences.
- 50% upon project completion before final delivery or website launch.
Late payments may result in suspension of work, delay in delivery, or withholding of project files. All fees are non-refundable once the project has started, except as required by law.

5. Intellectual Property Rights

Webtricker retains ownership of all design, code, and materials created until full payment has been received. Once paid in full, intellectual property rights for the deliverables will be transferred to the Client, except for third-party components, plugins, or licensed software. Webtricker reserves the right to showcase completed projects in its portfolio, case studies, and marketing materials unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to keep confidential all business, technical, or proprietary information
shared during the project. Confidentiality obligations remain in effect even after the termination of services.

7. Third-Party Services & Tools

Webtricker may use third-party services, plugins, APIs, hosting, or software as part of the project. We are not liable for downtime, errors, or security issues caused by third-party services. Clients are responsible for licensing or subscription costs of any third-party services required.

8. Warranties & Limitations

Webtricker will deliver services with reasonable skill, care, and professionalism. We do not warrant that the deliverables will be error-free, uninterrupted, or meet every Client expectation outside of the agreed scope. Post-delivery bug fixes and support are available under a separate maintenance agreement unless otherwise included in the contract.

9. Limitation of Liability

Webtricker shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services. Our total liability under these Terms shall not exceed the total fees paid by the Client for the specific project.

10. Termination

Either party may terminate the agreement with written notice if the other party breaches these terms.

In case of termination:
- The Client will be invoiced for all work completed up to the termination date.
- Any advance payment beyond completed work will not be refunded.\

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

12. Changes to Terms

Webtricker reserves the right to update or modify these Terms & Conditions at any time without prior notice. The updated version will be posted on our website with the date of revision.
